This question is only for those who have some legal or business background, or who previously know what the "Corporate Governance" means!

This is not a common sense. This is something you need to learn in schools.

Definition of 'Corporate Governance'

“The system of rules, practices and processes by which a company is directed and controlled. Corporate governance essentially involves balancing the interests of the many stakeholders in a company - these include its shareholders, management, customers, suppliers, financiers, government and the community. Since corporate governance also provides the framework for attaining a company's objectives, it encompasses practically every sphere of management, from action plans and internal controls to performance measurement and corporate disclosure. Do you have any idea what happens when you minimize governance and government interference? Expect all sorts of corruption, injustice, and crimes. Do you want that to happen?

So you can't have a conversation about corporate governance without talking about the SOX Act, so here i go.

The Sarbanes-Oxley Act was passed with the cooperation of both republicans and democrats so I'm not really sure what you're talking about. That bill was also passed under a republican president who signed the bill into law. Corporate governance also isn't mandatory. No business has to conform to section 404 of SOX, when an accounting firm renders whether you are GAAP compliant, so your point is again moot. Corporate governance exists as a way to avoid paying legal fines for misconduct when management has shown they've taken a proactive approach when exercising effective internal controls.

I didn't really spell anything out for you in that, and i don't really think you'll understand completely, but have fun in your first year of community college.

You misunderstand, Republicans don't want to minimize government, they want limited government. There is a difference. Limited government means limiting the power of the federal government to the powers explicitly given to it in the Constitution. All other powers are reserved for the states or individuals (10th Amendment). Even if taken to the strictest definition of limited government, the government would still have, as it's proper role, the protection of the Rights and liberties of it's citizens.

If bad actors in some corporation violate the rights of people, they would still be prosecuted with limited government in place. However, keep in mind, less government also means less government types with an agenda, wanting to use and get corporations to support their policies. This results in special treatment for those corporations and even those corporations using and manipulating government in return. This is corruption.

At the same time, this whole sluggish economy is due to the onslaught of regulatory red-tape heaped upon business, big and small. The Obama Administration has put a big, fat regulatory jockey on the back of the economic racehorse and is dumbfounded on why it's not willing races again. There needs to be some smart, rollback and simplification of the mountain of bureaucracy that is stifling business expansion and thus, job creation.

So WHO's going to minimize it? More government?

We need less government workers and more private workers.

I was reading an article about the huge amount of GREED the CEO's of the nation's biggest charities "earn." SiX to SEVEN figures. And the IRS stipulates that NON-Profit charity Execs. should not earn excessive amounts of money. What these people are doing makes me sick. Don't forget they rake in government funding. American Red Cross proud recipient of a $100 million government bailout!

Well, they do. What's being done to curb that? Tis the season for them to put the squeeze on us all.

The one bright light in this hypocritically run bunch of charities is that the CEO of the Salvation Army EARNS a meager $13,000. a year! This is a charity I can believe in.

Though not in substance, yet in form, the struggle of the proletariat with the bourgeoisie is at first a national struggle. The proletariat of each country must, of course, first of all settle matters with its own bourgeoisie.

With all of the governance that we have... all of the scandals still happen Bernie Madoff, MF Global (John Corzine), Housing collapse (Fannie Mae), etc. How is that working for you?
So easy, a democrat could do it!

Companies are generally privately owned. I guess that they'd have to decide that for themselves.
